These Terms & Conditions ("Terms") govern your access to and use of the Faaya suite of applications and services ("Service"), operated by Faaya Astu Pvt Ltd ("Company", "We", "Us", "Our").
By accessing or using the Service, you agree to be bound by these Terms.
1. Overview of Service
Faaya is a digital business platform that enables merchants to:
- Create and manage digital garment collections.
- Scan fabrics and build virtual inventories.
- Offer virtual try-on experiences using avatars, backgrounds, and poses.
- Share curated fitting rooms with customers.
- Create marketing content.
- Send messages to their own customers over WhatsApp, using pre-approved message templates, subject to those customers' explicit opt-in and to Meta's own WhatsApp Business Messaging Policy.
Faaya is intended for business use by merchants ("Merchants"), and for their customers who receive services or communications through the platform ("End Customers").
2. Accounts & Access
- You must provide accurate information when creating an account.
- You are responsible for maintaining the confidentiality of Your login credentials.
- You are responsible for all activity under Your account.
- We reserve the right to suspend or terminate accounts for misuse or violation of these Terms.
3. Subscription & Access Control
Access to features is governed by subscription plans assigned by Faaya or its authorized administrators.
Subscription allocation, upgrades, and renewals are managed externally by Faaya or authorized personnel.
We reserve the right to:
- Modify plan limits (e.g., scans, fitting rooms, devices, and WhatsApp message throughput as reasonably determined by Faaya).
- Introduce new pricing or plans.
- Restrict or suspend access if limits are exceeded or terms are violated.
4. Usage Limits
Depending on the assigned plan, usage may be limited by:
- Number of fabric scans.
- Number of avatars or fitting rooms.
- Device access.
- Availability of premium features.
- WhatsApp message throughput or template quota, as reasonably determined by Faaya (and subject to Meta's own limits).
Exceeding limits may result in:
- Temporary restriction of features.
- Requirement to upgrade the subscription.
5. Content & Intellectual Property
User Content
You retain ownership of:
- Uploaded images.
- Scanned fabrics.
- Created garments and collections.
- WhatsApp message templates You author, subject to the terms below.
By using the Service, You grant Faaya a limited, non-exclusive, worldwide, royalty-free license to process, display, store, and transmit Your content for the purpose of providing the Service, including transmitting message content to Meta for delivery via WhatsApp, and to improve platform functionality and recommendations.
Faaya Content
All platform elements including software, UI/UX, pre-built assets (avatars, poses, backgrounds), and premium garments are owned by Faaya and may not be copied, redistributed, or reused without permission.
6. Sharing & Public Content
- Merchants may share fitting rooms and try-on experiences via links.
- Shared content may be accessible to third parties depending on visibility settings.
- Merchants are responsible for ensuring that shared content does not violate any laws or rights.
7. Acceptable Use
You agree not to:
- Upload unlawful, harmful, or infringing content.
- Misuse the platform for unauthorized commercial purposes.
- Attempt to reverse engineer or exploit the system.
- Use the platform in a way that disrupts other users.
- Use WhatsApp messaging features in violation of Section 7A–7D of these Terms or Meta's own policies.
7A. WhatsApp Messaging
Faaya provides Merchants the ability to send messages to End Customers over WhatsApp through the WhatsApp Business Platform operated by WhatsApp LLC and Meta Platforms, Inc. ("Meta").
By using WhatsApp messaging features, You agree:
- You are the sender. All WhatsApp messages sent through Faaya are sent by You (the Merchant), not by Faaya. Faaya provides the technical means to compose, template, and deliver messages, but the content and recipient list are chosen and authorised by You.
- You will comply with all applicable law and policy. You will comply with the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy (if applicable), the DPDP Act, the Information Technology Act, 2000, the Consumer Protection Act, 2019, TRAI regulations concerning unsolicited commercial communications, and all other applicable law in the jurisdictions where You and Your End Customers are located.
- You will not use WhatsApp messaging for content prohibited by Section 7C below.
- You warrant that all message templates You submit and all messages You send are accurate, not misleading, not defamatory, and not in violation of any third-party rights.
7B. WhatsApp Opt-In and Opt-Out
- Opt-in. You will only send WhatsApp messages to End Customers who have given You their prior, informed, and specific consent to receive WhatsApp messages from Your business. Consent may be captured through in-store confirmation, opt-in on Your Faaya-powered storefront, or import of a contact list where each contact has already opted in through Your own compliant process.
- Consent audit. When You import contacts as opted-in, You warrant that You hold documentary evidence of each contact's consent (date, source, and scope) and that You will provide such evidence to Faaya or to Meta on request. Faaya may audit consent records at any time on reasonable notice.
- Honor opt-outs. You will treat any request from an End Customer to stop receiving WhatsApp messages as a permanent opt-out. Faaya automatically processes
STOPreplies received via Meta's webhook and prevents further sends to that phone number across all Merchants using Faaya; You will additionally honor opt-outs communicated through any other channel (email, phone, in person) by marking the contact as opted-out in Faaya. - No workaround. You will not attempt to circumvent an opt-out (for example, by re-adding an opted-out contact under a different name or number, or by using a different WhatsApp Business Account to reach the same person).
7C. Prohibited WhatsApp Uses
You will not use Faaya's WhatsApp messaging features to send messages that:
- Are unsolicited by the recipient, exceed the scope of the recipient's consent, or are targeted at recipients whose consent has expired or been withdrawn.
- Contain unlawful, deceptive, misleading, defamatory, discriminatory, hateful, or obscene content.
- Promote products or services that You are not lawfully permitted to sell (including but not limited to prescription drugs, weapons, tobacco, alcohol where prohibited, and financial services requiring licensure You do not hold).
- Impersonate any person or entity, or falsely state or misrepresent Your affiliation with any person or entity.
- Contain malware, phishing links, or links to fraudulent websites.
- Are sent in bulk in a manner that would reasonably be characterised as spam, or that violate the WhatsApp Business Messaging Policy's frequency and relevance requirements.
- Would cause Meta to downgrade the WABA's quality rating or to take enforcement action against the WABA.
7D. Meta Enforcement and Faaya's Right to Suspend
- Meta controls the platform. Meta may, at any time and at its sole discretion, restrict, throttle, suspend, or terminate access to the WhatsApp Business Platform for any WABA, including the WABA You use through Faaya. Faaya does not control these actions and is not responsible for their consequences.
- Delivery is not guaranteed. Faaya does not guarantee that any specific WhatsApp message will be delivered, delivered on time, or delivered without being marked as spam. Delivery depends on Meta's routing, the recipient's device and network, and factors outside Faaya's control.
- Faaya may suspend on Meta notice. If Meta notifies Faaya that Your WhatsApp use violates Meta's policies, or if Faaya reasonably believes Your WhatsApp use violates Section 7A–7C or applicable law, Faaya may immediately suspend Your WhatsApp messaging features, without prior notice. Where the suspension prevents You from using a paid subscription feature, Faaya will refund the unused portion of the relevant subscription fee on a pro-rata basis.
- Investigation cooperation. You will cooperate reasonably with any Meta or Faaya investigation into Your WhatsApp use, including providing evidence of consent for specific recipients on request.
8. AI & Recommendations
Faaya may provide:
- Style suggestions.
- Garment recommendations.
- Design insights.
These are generated automatically and should be considered assistive tools, not guarantees of outcomes or sales.
9. Payments & Billing
Payments for subscriptions, one-time onboarding fees, and hardware (fabric scanner and LED display, standalone or bundled) may be made via our website, invoices, or Razorpay payment links. We accept credit and debit cards, UPI, net banking, wallets, and EMI on supported cards.
- All payments are processed by Razorpay. Faaya does not collect or store Your card, bank, or UPI credentials.
- Prices shown are in Indian Rupees (INR) and are exclusive of GST. Applicable GST and any shipping charges are added at checkout and shown on the invoice. Faaya Astu Pvt Ltd's GSTIN is 03AAFCF3427L1ZQ.
- Failed or disputed payments may result in restriction or suspension of Service until the dues are cleared.
10. EMI Terms
- Standard EMI is available on credit cards issued by participating banks supported by Razorpay. The list of participating banks and tenure options (typically 3, 6, 9, 12, 18, or 24 months) is shown at the time of payment and may change at the bank's discretion.
- No-Cost EMI, where offered, is structured in line with RBI guidelines as an upfront discount equal to the interest component charged by the bank. GST applies on the discounted amount as per law.
- EMI eligibility, approval, and the applicable interest rate or processing fee are determined solely by Your issuing bank. Faaya is not a lender and does not control approval, bank-levied charges, or EMI reversal.
- Pre-closure, part-payment, and interest-reversal of EMI loans are governed by Your bank's policies.
11. Cancellation, Refunds & Shipping
Cancellation and refund terms for subscriptions, onboarding fees, and hardware are set out in our Cancellation & Refund Policy. Shipping, delivery, and exchange terms for the fabric scanner and LED display hardware are set out in our Shipping & Exchange Policy. Both policies form part of these Terms.
12. Data & Privacy
Your use of the Service is also governed by our Privacy Policy.
We collect and process data to:
- Provide and improve the Service.
- Enable personalization and recommendations.
- Monitor usage and performance.
- Route WhatsApp messages between Merchants and End Customers via Meta's WhatsApp Business Platform.
12A. Data Processing Roles
For the purposes of the Digital Personal Data Protection Act, 2023 of India (DPDP Act), and other applicable data protection law:
- Faaya is the data fiduciary in relation to the personal data of Merchants (Faaya's direct customers), including the account details, billing information, and usage data of Merchant users.
- The Merchant is the data fiduciary in relation to the personal data of the Merchant's own customers (End Customers) that the Merchant uploads to or processes through Faaya, including customer names, phone numbers, addresses, and consent records. Faaya acts as data processor for that data, processing it only under the Merchant's instructions and for the purposes of providing the Service.
- Merchants and Faaya will each fulfil their respective obligations under the DPDP Act. Merchants are responsible for providing End Customers with an appropriate privacy notice covering the Merchant's own data processing.
A separate Data Processing Addendum (DPA) governs this relationship and is available on request from legal@faaya.io.
13. Termination
We may suspend or terminate access if:
- You violate these Terms.
- There is suspected misuse or fraud.
- Required by law.
- Meta suspends or terminates Your access to the WhatsApp Business Platform, in which case Faaya's WhatsApp features will become unavailable to You even though Your Faaya account remains active.
You may stop using the Service at any time. If You stop using the Service, You may request export and deletion of Your data as described in Section 17A.
14. Limitation of Liability
To the maximum extent permitted by law:
- Faaya is provided "as is" without warranties.
- Faaya is not liable for indirect, incidental, or consequential damages.
- We do not guarantee uninterrupted or error-free service.
- Faaya is specifically not liable for: (a) any action taken by Meta with respect to Your WhatsApp Business Account, including throttling, suspension, quality-rating downgrades, or template rejection; (b) delivery failure of WhatsApp messages; (c) consequences of Your failure to obtain valid consent from End Customers; (d) consequences of message content You compose and send.
14A. Merchant Indemnification
You will indemnify, defend, and hold harmless Faaya and its officers, employees, and agents from and against any claim, demand, loss, or damage (including reasonable legal fees) arising from:
- Your breach of these Terms.
- Your breach of the WhatsApp Business Messaging Policy or other Meta policies.
- The content of any WhatsApp message You send through Faaya.
- Your failure to obtain or document valid End Customer consent.
- Any allegation by an End Customer or a public authority that You have engaged in unsolicited commercial communication.
Your aggregate liability under this indemnity is capped at an amount equal to the subscription fees paid by You to Faaya in the six (6) months immediately preceding the claim. This cap does not apply to liabilities arising from Your fraud, wilful misconduct, or infringement of third-party intellectual property rights.
Faaya will notify You promptly of any claim covered by this indemnity and will allow You reasonable control over its defence (subject to Faaya's right to participate at its own cost).
15. Changes to Terms
We may update these Terms from time to time. Updated Terms will be posted within the app or on our website. Continued use of the Service constitutes acceptance of updated Terms.
Material changes will additionally be notified to You by email or in-app notice at least 15 days before the change becomes effective.
16. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Punjab, India.
17. Termination
Either party may terminate Your account at any time in accordance with Section 13.
17A. Export and Deletion of Data on Termination
On termination of Your account (whether by You, by Faaya, or automatically):
- You may request an export of Your data in a machine-readable format within 30 days of termination.
- After 30 days, or on Your earlier request, Faaya will delete Your data from active systems within 30 days, subject to any legal obligations that require Us to retain certain records.
- Backups may retain Your data for up to 90 days before being overwritten in the ordinary course.
- WhatsApp opt-in and opt-out audit records associated with Your account may be retained indefinitely to satisfy Meta's compliance requirements and to prevent re-solicitation of opted-out End Customers.
